Commercial Terms & Conditions | Modern Office Furniture Dubai

These Commercial Terms and Conditions ("Terms", "Agreement") govern all commercial quotations, purchase orders, manufacturing contracts, delivery services, and turnkey installation works provided by Modern Office Furniture Dubai ("the Company", "Seller", "we", "us") to corporate clients, commercial enterprises, contractors, and individuals ("the Buyer", "Purchaser", "Client"). By issuing an official purchase order, signing a commercial pro-forma quotation, or placing an order through our digital platform or showroom facility at Warehouse 20, Street 59, Jebel Ali Industrial First, Dubai, United Arab Emirates, the Client agrees to be legally bound by these Terms in full.

1. Governing Law & Jurisdiction

These Terms and all commercial transactions entered into with Modern Office Furniture Dubai are governed by, construed, and enforced in accordance with the federal laws of the United Arab Emirates, including Federal Decree-Law No. 50 of 2022 on Commercial Transactions and Federal Law No. 5 of 1985 on Civil Transactions, as amended. Any dispute, controversy, or claim arising out of or in connection with this contract, including any question regarding its existence, validity, interpretation, breach, or termination, shall be subject to the exclusive jurisdiction of the competent Courts of the Emirate of Dubai, United Arab Emirates.

2. Quotations, Pricing & Order Confirmation

All commercial quotations and pro-forma proposals issued by the Company are valid for a period of thirty (30) calendar days from the date of issuance, unless explicitly stated otherwise in writing. Prices quoted reflect the quantities, specifications, material finishes, and delivery site conditions detailed in the quotation. The Company reserves the right to revise pricing if the Client subsequently alters quantities, dimensions, delivery schedules, or site locations.

All pricing is denominated in United Arab Emirates Dirhams (AED) and is exclusive of the five percent (5%) Value Added Tax (VAT), which shall be added to official tax invoices in strict compliance with UAE Federal Tax Authority (FTA) statutory regulations. An order is deemed formally confirmed and accepted only upon receipt of the Client’s written Purchase Order (PO) or countersigned quotation, accompanied by the designated mobilization advance payment.

3. Custom Manufacturing & Specification Sign-Off

Modern Office Furniture Dubai manufactures commercial workstations, executive suites, conference tables, and custom storage millwork to precise client specifications. Prior to commencing fabrication at our Jebel Ali factory:

• Shop Drawings & Layout Sign-Off: The Client must review and formally approve all 2D CAD layout drawings, dimensioned furniture plans, and cable routing schematics prepared by our design department.
• Finishes & Material Approval: The Client must verify and sign off on all selected melamine laminates, edge banding profiles, steel powder-coating codes, and acoustic fabric swatches as detailed in our materials and colours catalog.
• Production Freeze: Following written approval and payment confirmation, manufacturing orders enter our CNC beam saw and automated edge-banding queues. No alterations to dimensions, colors, or hardware can be accommodated without an official change order and associated cost or timeline adjustments.

4. Commercial Payment Terms & Invoicing

Unless alternative corporate credit terms have been established and approved in writing by the Company’s finance committee, standard enterprise payment terms are structured as follows:

• Mobilization Deposit: A minimum fifty percent (50%) advance payment is required upon order confirmation to initiate raw material allocation, CNC programming, and production scheduling.
• Balance Payment: The remaining fifty percent (50%) balance is payable upon delivery to site or prior to formal handover, as stipulated in the commercial contract.
• Payment Methods: Payments may be made via direct UAE bank wire transfer, corporate cheque, or major credit cards. Wire transfer bank fees remain the responsibility of the remitter.
• Late Payment Penalties: Unpaid commercial balances past due date shall accrue commercial finance interest at the rate of two percent (2%) per month or the maximum rate permissible under UAE commercial laws.

5. Delivery Schedules, Site Readiness & Access Permits

Delivery timelines communicated by the Company are established in good faith based on prevailing production capacities and raw material lead times. Standard stock inventory is delivered within 24 to 48 hours across Dubai, while custom manufactured workstation configurations typically require 7 to 14 business days. The Client is solely responsible for ensuring site readiness prior to scheduled delivery:

• Building Management Approvals: The Client must obtain all necessary building management gate passes, security clearances, contractor permits, and freight elevator reservations required by commercial developers (e.g., DIFC, DMCC, Emaar, Tecom).
• Site Environment: The installation site must be broom-clean, dry, air-conditioned (essential for timber panel acclimatization), illuminated, and free from active wet construction trades (plastering, painting, wet masonry).
• Delivery Obstructions: If the Company’s delivery vehicles or installation teams are denied entry due to lack of Client permits, or if the site is not ready, the Client shall bear associated redelivery, warehousing, and crew standby costs.

6. Title, Risk of Loss & Inspection Handover

Risk of loss or damage to furniture products transfers to the Client immediately upon delivery to the specified project premises. Legal title and ownership of all supplied goods remain with Modern Office Furniture Dubai until all invoices, taxes, and associated delivery charges have been received in full cleared funds.

Upon completion of assembly and installation, an authorized representative of the Client must conduct a joint site walkthrough with our installation supervisor and execute the formal Delivery and Handover Certificate. Any minor cosmetic blemishes, missing components, or functional adjustments must be recorded on the formal Snag List during this inspection. The Company agrees to rectify all verified snag items within five (5) to seven (7) business days.

7. Warranty, Cancellations & Return Limitations

All commercial furniture items manufactured and supplied by Modern Office Furniture Dubai are protected by our comprehensive corporate quality assurance framework as detailed in our warranty statement. Standard structural desk frames, executive suites, conference tables, and steel cabinets carry up to five (5) years of commercial structural coverage, while ergonomic task chair mechanisms and gas lifts carry up to three (3) years of warranty protection.

Because commercial furniture items—including modular workstations, executive tables, and conference tables—are custom-dimensioned, custom-laminated, and manufactured to order, orders cannot be cancelled or returned once fabrication has commenced. 8. Intellectual Property & Space Planning Drawings

All 2D CAD architectural layouts, 3D photorealistic renderings, spatial feasibility schematics, and technical specifications produced by Modern Office Furniture Dubai remain the proprietary intellectual property of the Company. They are provided solely for the Client’s evaluation in connection with the purchase of goods from the Company. Any unauthorized reproduction, sharing with third-party fabricators, or commercial exploitation of our proprietary designs without prior written authorization is strictly prohibited under UAE copyright laws.
